Governing the use of aopl.tech and all services offered by Asset Online Private Limited
1Interpretation & Definitions
In these Terms & Conditions, the following expressions shall have the meanings assigned below, unless the context otherwise requires:
- "Company", "AOPL", "We", "Us", "Our" means Asset Online Private Limited, a private limited company incorporated under the Companies Act, 2013, having its registered office at 355, Balaji Arcade, 5th Main, HSR Layout, Sector 6, Bengaluru, Karnataka 560102, INDIA, CIN: U72200KA2013PTC071635.
- "Website" means the website accessible at https://aopl.tech and all associated sub-domains, landing pages, and digital properties operated by AOPL.
- "User", "You", "Your" means any natural person, corporate entity, partnership firm, or other legal entity that accesses, browses, or uses the Website in any manner.
- "Services" means AOPL's B2B enterprise technology offerings including AIDC & RFID solutions, Integrated Building Management Systems (IBMS), Environmental Intelligence, AI & Robotics, and IT Infrastructure solutions, as more fully described on the Website and in separate commercial agreements.
- "Content" means all text, graphics, photographs, videos, white papers, case studies, product information, logos, trademarks, data, software, and any other material published on the Website by AOPL.
- "Intellectual Property" means patents, copyrights, trademarks, trade secrets, designs, trade names, domain names, software code, algorithms, databases, moral rights, and all other intellectual and industrial property rights, whether registered or unregistered.
- "Confidential Information" means any technical, commercial, financial, or operational information disclosed by either party that is designated as confidential or ought reasonably to be regarded as confidential given its nature.
- "IT Act" means the Information Technology Act, 2000 (as amended from time to time) and the rules and regulations made thereunder.
- "DPDP Act" means the Digital Personal Data Protection Act, 2023 (No. 22 of 2023) and the DPDP Rules, 2025, as amended from time to time.
- "Terms" means these Terms & Conditions as amended or supplemented from time to time.
- "Business Day" means a day (other than Saturday, Sunday, or a public holiday) on which banks are generally open for business in Bengaluru, Karnataka, India.
References to any statute or statutory provision shall be construed to include that statute or provision as amended, consolidated, or replaced from time to time.
2Acceptance of Terms
2.1 By accessing, browsing, registering on, or otherwise using the Website (including submitting any enquiry form, downloading any resource, or clicking "I Agree"), you unconditionally accept and agree to be bound by these Terms, our Privacy Policy, and any other guidelines or policies published on the Website, which are incorporated herein by reference.
2.2 If you are accessing the Website on behalf of a company, organisation, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms, and all references to "You" shall be read accordingly.
2.3 If you do not agree with any part of these Terms, you must immediately cease using the Website and all associated Services. Continued use after any modification to these Terms constitutes acceptance of the revised Terms.
2.4 AOPL reserves the absolute right to refuse access to the Website to any User, at its sole discretion, without prior notice and without assigning any reason.
3About AOPL & Our Services
3.1 Asset Online Private Limited (AOPL) is a B2B enterprise technology solutions company headquartered in Bengaluru, Karnataka, India. AOPL delivers integrated technology solutions across five practice areas:
- AIDC & RFID: Automatic Identification & Data Collection, Radio Frequency Identification asset tracking, supply chain traceability, and anti-counterfeit solutions.
- Smart Buildings / IBMS: Integrated Building Management Systems covering HVAC automation, smart lighting, fire & life safety, access control, and energy management.
- Environmental Intelligence: Continuous Ambient Air Quality Monitoring (CAAQMS), Continuous Emission Monitoring Systems (CEMS), water quality monitoring, GHG & carbon management, and EHS platforms.
- AI & Robotics: Artificial Intelligence solutions, Autonomous Mobile Robots (AMR), Automated Guided Vehicles (AGV), collaborative robots, inspection robots, and AI-driven analytics.
- IT Infrastructure: Enterprise data centers, networking, cybersecurity, cloud migration, hybrid cloud, server virtualization, enterprise storage, and managed IT services.
3.2 The Website serves as an informational and marketing platform. Any actual supply of Services shall be governed exclusively by a separate, duly executed commercial agreement, purchase order, service agreement, or master services agreement between AOPL and the relevant client. Nothing on this Website constitutes an offer capable of acceptance so as to form a binding contract for the provision of Services, except where explicitly stated in a separate written agreement.
3.3 AOPL reserves the right to modify, suspend, or discontinue any aspect of the Website or the Services described thereon, at any time and without prior notice.
4Eligibility & Authorised Use
4.1 The Website is intended for use by business professionals, procurement decision-makers, technical personnel, and other representatives of corporate entities engaged in evaluating enterprise technology solutions. The Website isnot intended for personal, consumer, or household use.
4.2 You must be at least 18 years of age to use this Website. By using the Website, you represent and warrant that you meet this age requirement. The Website is not directed at persons under 18 years of age (minors), and AOPL does not knowingly collect information from minors.
4.3 You are authorised to access the Website solely for legitimate business evaluation, information gathering, or engagement purposes in connection with AOPL's Services, and not for any unlawful, fraudulent, or harmful purpose.
4.4 Access to certain features of the Website may require you to provide identification or business credentials. You represent that any information provided is accurate, current, and complete.
5Intellectual Property Rights
5.1 All Content on the Website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, software, data compilations, trade names, trademarks, service marks, and the overall compilation and arrangement of the Website, is the exclusive property ofAsset Online Private Limited or its content suppliers and is protected under:
- The Copyright Act, 1957 (India)
- The Trade Marks Act, 1999 (India)
- The Patents Act, 1970 (India)
- The Designs Act, 2000 (India)
- Applicable international intellectual property treaties and conventions
5.2 The name "AOPL", "Asset Online Private Limited", the AOPL logo, and all associated marks are trademarks or registered trademarks of Asset Online Private Limited. Unauthorised use of any AOPL mark is strictly prohibited and may constitute infringement under the Trade Marks Act, 1999.
5.3 Nothing in these Terms shall be construed as conferring any licence or right to use any Intellectual Property of AOPL except as expressly permitted herein. Any use of AOPL's Intellectual Property without prior written consent shall constitute infringement, and AOPL reserves all rights and remedies available in law and equity.
5.4 Permitted use: You may print or download extracts of Content from the Website solely for your own internal business evaluation purposes. You may not modify, reproduce, redistribute, republish, upload, post, transmit, or distribute any Content without AOPL's prior express written consent.
5.5 If you believe any Content on the Website infringes your intellectual property rights, please notify the Grievance Officer as set out in Section 20 of these Terms.
6Permitted Use & Licence
6.1 AOPL grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Website solely for the purposes of evaluating AOPL's enterprise technology offerings for your genuine business requirements.
6.2 This licence does not permit you to:
- Reproduce, duplicate, copy, sell, resell, or exploit the Website or any Content for any commercial purpose without AOPL's prior written consent;
- Frame or link to any portion of the Website in a manner that misrepresents AOPL or is likely to mislead Users;
- Use any automated means (bots, spiders, crawlers, scrapers) to access or extract Content from the Website without AOPL's prior written consent;
- Remove, obscure, or alter any proprietary notices, copyright legends, or other markings on the Website or its Content.
6.3 This licence terminates automatically and immediately if you breach any provision of these Terms, without the requirement of notice from AOPL.
7Prohibited Conduct
7.1 You shall not use the Website or any associated system for any purpose that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable. Without limiting the generality of the foregoing, you specifically agree NOT to:
- Gain or attempt to gain unauthorised access to the Website, servers, databases, or any computer resource connected to the Website, which constitutes an offence under Section 43 and Section 66 of the IT Act;
- Introduce, transmit, or knowingly allow the transmission of any computer contaminant, virus, worm, Trojan horse, malware, ransomware, or other malicious code in violation of Section 43(c) of the IT Act;
- Conduct or facilitate any denial-of-service (DoS) or distributed denial-of-service (DDoS) attack on the Website;
- Probe, scan, or test the vulnerability of the Website or any connected network or system;
- Harvest, scrape, or collect any personal data or business information of other Users from the Website without authorisation;
- Impersonate AOPL, its employees, directors, or any other person in connection with your use of the Website;
- Use the Website to send unsolicited commercial communications (spam) in violation of applicable law;
- Engage in reverse engineering, disassembly, decompilation, or derivation of source code of any software forming part of the Website;
- Circumvent, disable, or interfere with any security or access-control features of the Website;
- Use the Website for competitive intelligence against AOPL in a manner not reasonably incident to legitimate business evaluation;
- Transmit or publish content that infringes any third party's intellectual property, privacy, or other rights;
- Violate any applicable law, rule, or regulation of India or any other jurisdiction applicable to your use of the Website.
8User Submissions & Enquiries
8.1 When you submit enquiry forms, assessment requests, contact forms, or any other user-generated content through the Website, you represent that the information submitted is accurate, truthful, and not misleading.
8.2 By submitting any content, feedback, suggestions, or ideas to AOPL through the Website, you grant AOPL a worldwide, perpetual, irrevocable, royalty-free, non-exclusive licence to use, reproduce, modify, and incorporate such submissions for business improvement purposes without attribution or compensation to you, save where such submission constitutes personal data, which shall be governed exclusively by our Privacy Policy.
8.3 AOPL is under no obligation to respond to any submission, enquiry, or contact form submission, nor to treat any such submission as confidential, unless a separate non-disclosure or confidentiality agreement has been executed between AOPL and the relevant party.
8.4 You shall indemnify AOPL from any claim arising out of any misrepresentation in your submissions or breach of any third party's rights through your submissions.
9Third-Party Links & Services
9.1 The Website may contain hyperlinks to third-party websites, resources, or services ("Third-Party Sites") for information and convenience only. AOPL neither controls nor endorses any Third-Party Site and makes no representations or warranties regarding the accuracy, reliability, legality, or completeness of any content on any Third-Party Site.
9.2 The inclusion of any link to a Third-Party Site does not imply that AOPL approves of, endorses, or sponsors the Third-Party Site. Accessing Third-Party Sites is entirely at your own risk, and you should review the terms and privacy policies of each Third-Party Site you visit.
9.3 AOPL shall not be liable for any loss, damage, or harm arising directly or indirectly from your access to or use of any Third-Party Site, including any content, goods, or services available on or through such site.
10Disclaimer of Warranties
10.1 THE WEBSITE AND ALL CONTENT ARE PROVIDED ON AN"AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATION, WARRANTY, OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, AOPL EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
- Warranties that the Website will be uninterrupted, error-free, secure, or free of viruses or other harmful components;
- Warranties as to the accuracy, completeness, timeliness, or reliability of any Content on the Website;
- Warranties that any defect in the Website will be corrected.
10.2 All technical specifications, product descriptions, solution capabilities, performance metrics, and ROI projections published on the Website are indicative only and are subject to confirmation through a formal technical assessment and written commercial proposal. They do not constitute a guarantee of outcomes.
10.3 AOPL does not warrant that the Website or its servers are free of viruses, malware, or other technologically harmful material. You are responsible for implementing appropriate safeguards on your own systems when accessing the Website.
10.4 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable Indian law, including liability for death or personal injury caused by AOPL's negligence, or for fraud or fraudulent misrepresentation.
11Limitation of Liability
11.1 To the maximum extent permitted by applicable law, AOPL, its directors, officers, employees, agents, affiliates, and licensors shall NOT be liable to you or any third party for any of the following losses or damages, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, even if AOPL was advised of the possibility of such losses:
- Loss of profits, revenue, or business;
- Loss of anticipated savings;
- Loss of contracts or commercial opportunities;
- Loss of data or corruption of data;
- Loss of goodwill or reputation;
- Any indirect, consequential, special, exemplary, or punitive damages.
11.2 Where liability cannot be fully excluded, AOPL's total aggregate liability to you for any claim arising out of or in connection with the Website or these Terms shall be limited toINR One Thousand (₹1,000/-) or the amount actually paid by you to AOPL (if any) in the twelve (12) months preceding the event giving rise to the claim, whichever is greater.
11.3 The limitation of liability in Clause 11.2 does not apply to: (a) death or personal injury caused by AOPL's negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable Indian law.
11.4 Any claim by you against AOPL must be filed withinone (1) year from the date the cause of action arose, failing which such claim shall be forever barred.
12Indemnification
12.1 You agree to defend, indemnify, and hold harmless AOPL, its affiliates, directors, officers, employees, agents, licensors, and service providers from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and legal fees arising out of or in connection with:
- Your violation of any provision of these Terms;
- Your violation of any applicable law, regulation, or third-party right, including Intellectual Property rights and privacy rights;
- Your User submissions or any content you transmit through or to the Website;
- Any misrepresentation made by you in connection with your use of the Website;
- Your use of the Website in a manner not authorised by AOPL.
12.2 AOPL reserves the right, at its own expense, to assume exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with AOPL in asserting any available defences and shall not settle any such claim without AOPL's prior written consent.
13Confidentiality
13.1 Any non-public technical, commercial, pricing, or business information that AOPL discloses to you in the course of your use of this Website or in response to your enquiries shall be treated as Confidential Information of AOPL. You shall not disclose such information to any third party without AOPL's prior written consent.
13.2 This confidentiality obligation shall not apply to information that: (a) is or becomes publicly available through no fault of yours; (b) was known to you before disclosure; (c) is disclosed to you by a third party without restriction; or (d) you are required to disclose by law or court order, provided you give AOPL prompt written notice where legally permissible.
13.3 This Clause 13 shall survive termination or expiry of these Terms for a period of three (3) years thereafter.
14Force Majeure
14.1 AOPL shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from causes beyond AOPL's reasonable control, including but not limited to: acts of God; natural disasters; flood; earthquake; storm; epidemic; pandemic (including any recurrence of COVID-19 or emergence of any new disease); fire; explosion; war; armed conflict; terrorism; riot; civil unrest; government orders or regulations; embargoes; sanctions; power or telecommunication outages or failures; internet disruptions; cyberattacks; or labour disputes.
14.2 AOPL shall use reasonable endeavours to resume performance as soon as practicable after the cessation of the force majeure event and shall notify Users of the occurrence and expected duration of the event where practicable.
15Modifications to Terms
15.1 AOPL reserves the right, in its sole discretion, to amend, modify, add to, or delete any provision of these Terms at any time without prior notice. Changes will be effective immediately upon posting on the Website with an updated "Last Updated" date.
15.2 For material changes that significantly affect Users' rights or obligations, AOPL will make reasonable efforts to notify Users by displaying a prominent notice on the Website homepage for a period of not less than seven (7) days.
15.3 Your continued use of the Website after any modification to these Terms constitutes your unconditional acceptance of the revised Terms. If you do not accept any modification, you must immediately cease using the Website.
15.4 AOPL recommends that you review these Terms periodically to stay informed of any updates.
16Suspension & Termination
16.1 AOPL may, in its sole and absolute discretion, immediately and without prior notice, restrict, suspend, or permanently terminate your access to the Website or any part thereof in the event of:
- Any actual or suspected breach of these Terms;
- Any conduct that AOPL, in its reasonable judgment, considers illegal, harmful, or contrary to the interests of AOPL or its users;
- Any request by a law enforcement authority, regulatory body, or court;
- Extended periods of inactivity (where applicable to registered accounts);
- Technical, security, or operational reasons.
16.2 Termination of your access to the Website shall not affect any rights or obligations that have accrued prior to termination. Clauses 5, 7, 11, 12, 13, 17, 18, and 19 of these Terms shall survive termination.
17Governing Law
17.1 These Terms shall be governed by, and construed exclusively in accordance with, the laws of the Republic of India, including but not limited to the Information Technology Act, 2000, the Indian Contract Act, 1872, the Companies Act, 2013, and other applicable Indian statutes, without regard to any conflict of law principles.
17.2 Subject to Clause 18 (Dispute Resolution and Arbitration), the courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction over any dispute, controversy, or claim arising out of or in connection with these Terms, the Website, or your use thereof.
18Dispute Resolution & Arbitration
18.1 Mandatory Good-Faith Negotiation: Before initiating any formal legal proceedings, both parties shall attempt to resolve any dispute arising out of or in connection with these Terms, the Website, or any Services ("Dispute") through good-faith negotiations for a period of not less than thirty (30) days from the date one party notifies the other in writing of the Dispute.
18.2 Binding Arbitration: If a Dispute cannot be resolved through negotiation within the period specified in Clause 18.1, such Dispute shall be referred to and finally resolved bybinding arbitration in accordance with theArbitration and Conciliation Act, 1996 (as amended by the Arbitration and Conciliation (Amendment) Acts of 2015, 2019, and 2021) and the rules made thereunder.
18.3 The arbitration shall be:
- Seat: Bengaluru, Karnataka, India;
- Number of arbitrators: A sole arbitrator, mutually appointed by the parties within fifteen (15) days of the reference to arbitration; failing such agreement, as appointed by the relevant competent authority under the Act;
- Language: English;
- Governing law of arbitration: Indian law.
18.4 The arbitration award shall be final and binding on the parties. Nothing in this Clause shall prevent either party from seeking urgent interlocutory, interim, or injunctive relief from a competent court where necessary to prevent irreparable harm.
19General Provisions
19.1 Severability
If any provision of these Terms is held by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The validity and enforceability of the remaining provisions shall not be affected.
19.2 Waiver
No failure or delay by AOPL to exercise any right or remedy provided under these Terms shall constitute a waiver of that or any other right or remedy, nor shall any single or partial exercise of any right or remedy preclude any other or further exercise thereof. Any waiver shall be valid only if in writing and signed by a duly authorised representative of AOPL.
19.3 Entire Agreement
These Terms, together with the Privacy Policy and any other policies incorporated herein by reference, constitute the entire agreement between you and AOPL relating to your use of the Website and supersede all prior agreements, representations, warranties, or understandings between the parties regarding the same subject matter.
19.4 Assignment
You may not assign, transfer, delegate, or sub-licence any of your rights or obligations under these Terms without AOPL's prior written consent. AOPL may freely assign, transfer, or novate its rights and obligations under these Terms, including in connection with a merger, acquisition, restructuring, or sale of all or substantially all of its business assets.
19.5 No Partnership or Agency
Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or franchise relationship between you and AOPL. Neither party has authority to bind the other in contract or otherwise.
19.6 Language
These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.

The Grievance Officer shall acknowledge your complaint within72 hours of receipt and shall endeavour to resolve it within 30 (thirty) days from the date of receipt, or such shorter period as may be prescribed under applicable law.
